Equipment Lease Agreement

This Equipment Lease Agreement ("Lease") between Kingdom Camera Rentals, LLC, ("Kingdom Camera Rentals, LLC") and the person executing this Lease (the “Customer"), (collectively referred to as the "Parties"), is made and effective between the parties by the Customer clicking on the “Pay Now” button on the Kingdom Camera Rentals, LLC website as set forth below. www.KingdomCameraRentals.com, and Kingdom Camera Rentals, LLC’s acceptance of such order as set forth below. 
 
WHEREAS, Kingdom Camera Rentals, LLC desires to lease to the Customer, and the Customer desires to lease from Kingdom Camera Rentals, LLC, certain tangible personal property.
 
NOW, THEREFORE, in consideration of the mutual covenants and promises hereinafter set forth, the parties hereto agree as follows.
 
1. Lease
Kingdom Camera Rentals, LLC hereby leases to the Customer, and the Customer hereby leases from Kingdom Camera Rentals, LLC, the equipment (the "Equipment") listed under _________ (the “Customer Order”). Kingdom Camera Rentals, LLC hereby accepts the Customer Order from the Customer upon the Customer’s clicking on the “Pay Now” button on the Kingdom Camera Rentals, LLC website, www.KingdomCameraRentals.com (the “Website”). By clicking on the “Pay Now” button, the Customer agrees to be bound by these Terms and Conditions.
 
2. Order Acceptance by Kingdom Camera Rentals, LLC
The Customer’s receipt of an electronic or other form of order summary does not signify Kingdom Camera Rentals, LLC’s acceptance of the Customer’s order, nor does it constitute confirmation of Kingdom Camera Rentals, LLC’s offer to rent.  Kingdom Camera Rentals, LLC reserves the right at any time to accept or decline the Customer’s order or to supply less than the quantity displayed on the order for any reason. All information provided by the Customer is subject to verification. Kingdom Camera Rentals, LLC reserves the right to refuse any order for any reason.
 
There may be times when the product the Customer ordered is out-of-stock which will affect fulfilling the Customer’s order.  Kingdom Camera Rentals, LLC makes no guarantees as to availability of Equipment.  Any estimate of availability provided by Kingdom Camera Rentals, LLC is based on the assumption that each Kingdom Camera Rentals, LLC customer returns Equipment within the prescribed term period.  Kingdom Camera Rentals, LLC will keep the Customer informed and offer a substitute item if any products that Customer has ordered are unavailable for scheduled delivery.  The Customer may cancel the Customer Order at any time prior to delivery. 
 
3. Right to Lease
Kingdom Camera Rentals, LLC warrants that Kingdom Camera Rentals, LLC has the right to lease the Equipment to the Customer, as provided in this Lease.
 
4. Lease Term
The “Lease Term” defines the period of time in which the Customer is entitled to use the Equipment, and shall commence on the day the first attempt is made to deliver the Equipment to the address designated as the delivery address on the Customer Order (“Start date”) and continue for the number of consecutive calendar days ("Rental days”) specified on the Customer Order, and ends when the equipment is back in possession of Kingdom Camera Rentals, LLC.
The rental period end date (“End date”) is the date that is the number of rental days after the commencement date.  The Equipment must be returned to Kingdom Camera Rentals, LLC during business hours before or on the End date.
 
5. Rent
Orders shall be paid in full in advance in the amount specified on the Customer Order. Rental extensions shall be paid in full at the time the extension is ordered.  All Equipment must be returned to Kingdom Camera Rentals, LLC immediately if a charge to the Customer’s payment method is not valid.
 
7. Delivery & Pick-up
Kingdom Camera Rentals, LLC shall make a reasonable effort to deliver the Equipment to the street address specified by Customer at the approximate time as requested by the Customer, as listed on the Customer Order and pick up the Equipment at the street address specified by Customer at the approximate time as requested by the Customer, as listed on the Customer Order.
 
The Parties agree to allow thirty minutes from the scheduled delivery or pickup time for the other party to arrive.
 
If the Customer fails or is unable to meet the Kingdom Camera Rental, LLC representative at the scheduled time and designated address, a $20 redelivery fee will be charged.
 
If Kingdom Camera Rentals, LLC fails to meet the Customer at the scheduled time and designated address, Kingdom Camera Rentals, LLC will make every reasonable effort to reschedule the delivery or pickup at a time convenient to the Customer at no additional charge. No other remedy is available to the Customer if Kingdom Camera Equipment, LLC fails to deliver or pickup the Equipment at the scheduled time.
 
8. Use
The Customer shall use the Equipment in a careful and proper manner and shall comply with and conform to all national, state, and municipal, laws, ordinances and regulations relating to the possession, use, or maintenance of the Equipment.  Certain venues restrict the usage of certain or all photographic devices.  The Customer shall comply with any restrictions imposed by public or private venues.  The Customer is solely responsible for any penalties incurred through the use of the Equipment.
 
9. Repairs and Alterations
The Customer is responsible for the cost of any repairs necessary to correct any malfunction or damage that occurs to the Equipment while the Equipment is in the Customer’s possession.  The Customer shall not repair or solicit the repair of the Equipment.  The Customer shall not alter the makeup of the Equipment, including but not limited to, the physical, mechanical, optical, electrical, logical, or cosmetic makeup.  All repairs to the Equipment shall be made by Kingdom Camera Rentals, LLC or a Kingdom Camera Rentals, LLC designate.  At the discretion of Kingdom Camera Rentals, LLC, the Customer may be charged for the full replacement cost for the Equipment.
 
10. Possession and Surrender
The Customer acknowledges receipt of the Equipment described in the Customer Order, on the Rental days indicated, and agrees to keep the Equipment at all times in the Customer’s care; that this is a transaction of lease only; that the Equipment is accepted in its "as is" condition (having been inspected by the undersigned upon delivery); and further, the Customer agrees: to protect the Equipment from all loss or damage and remain responsible for it, to release the Equipment for pick-up only to a duly authorized representative of Kingdom Camera Rentals, LLC, to operate the Equipment only in the manner for which it was intended, and to refrain from making any repairs or alterations to the Equipment (but the Customer will notify Kingdom Camera Rentals, LLC in the event repairs are needed).
The Customer has been informed and agrees that Kingdom Camera Rentals, LLC is not a manufacturer of the Equipment, and is not responsible for the adequacy of the same nor for any defects in the Equipment or which may appear from the use and maintenance thereof; nor shall Kingdom Camera Rentals, LLC be responsible for any delay or interruption in connection with the delivery or service of the Equipment or for any damage whatsoever relating to the use of the Equipment. Kingdom Camera Rentals, LLC makes no representations with regard to suitability of the Equipment for any specific purpose of the Customer, and assumes no liability for any warranties whatsoever, express or implied. The Customer irrevocably agrees to indemnify and save Kingdom Camera Rentals, LLC harmless from and against any claims whatsoever which may be brought by any persons whomsoever arising from the rental, delivery and use of the Equipment.
 
11. Cancellations
Orders may be cancelled without penalty to the Customer by providing Kingdom Camera Rentals, LLC a written request no later no later than seven (7) days before the delivery date[LH1] . Written requests to cancel an order received less than seven (7) days before the delivery date will be charged a $50.00 cancellation fee.
 
12. Late Returns and Late Fees
If the Customer fails to surrender the Equipment on or before the End date, rental fees will continue to accrue at the “Daily Rate”, which is defined as one fourth of the 5-Day rental fee at time of lease per day, up to the replacement cost of the Equipment. The Equipment is considered to be returned when Kingdom Camera Rentals, LLC provides either written or published acknowledgment of possession of the Equipment.
 
13. Lost, Damaged, or Unreturned Equipment.
The Customer hereby assumes and shall bear the entire risk of loss and damage to the Equipment from any and every cause. No loss or damage to the Equipment or any part thereof shall impair any obligation of the Customer under this Lease, which shall continue in full force and effect through the term of this Lease.
 
At the time of delivery and pickup, Kingdom Camera Rentals, LLC will inspect the Equipment for damages with the Customer present.  In the event of damage of any kind to the Equipment, the Customer agrees to allow Kingdom Camera Rentals, LLC to charge the Customer’s credit card for the full cost of repair of said damaged Equipment.
Kingdom Camera Rentals, LLC will send Equipment to the manufacturer for inspection and repair.  The Customer and Kingdom Camera Rentals, LLC agree to be bound, legally and otherwise, by the report of manufacturer. 
 
In the event of default, or a lost or unreturned item of Equipment, Kingdom Camera Rentals, LLC reserves the right to pursue civil and criminal remedies against the Customer, including, but not limited to, taking immediate possession of the Equipment; obtaining, by the Customer’s credit card or otherwise, from the Customer, the cost of the full retail price of a comparable substitute item of Equipment; notifying a collections agency, which immediately results in additional attorneys’ and collection fees being charged to Kingdom Camera Rentals, LLC; filing of criminal charges; employing “skip tracer,” private investigator, or repossession agency to collect the Equipment or goods sufficient to repay the value of the Equipment; and/or pursue any and all legal remedies against The Customer. The Customer will also forfeit all rights enumerated in the Privacy Policy of Kingdom Camera Rentals, LLC. These remedies are not exclusive. In the event of litigation to recover any such damages, the Customer is held responsible for all legal fees and costs incurred by Kingdom Camera Rentals, LLC.
 
The Customer is deemed to be in “default” if for any reason payment to Kingdom Camera Rentals, LLC for any Equipment is not delivered, is disputed, or is otherwise interrupted.
 
Equipment is deemed to be “lost” or “unreturned” when the Customer has failed to ship the Equipment to Kingdom Camera Rentals, LLC within seven (7) days after the End date. If the Customer then returns any Equipment in an undamaged state to Kingdom Camera Rentals, LLC within thirty (30) days after the End date, the charge to the Customer’s credit card for the price of a comparable substitute item of Equipmentwill be refunded to the Customer by Kingdom Camera Rentals, LLC and a late fee will be charged to the Customer’s credit card.  Late returns are subject to a fee of one fourth of the one-week rental price at time of lease, per day. Returning an item late without notifying Kingdom Camera Rentals, LLC first may cause loss of use fees to be applied in addition to the late fees. The amount of the loss of use fees will be calculated on a case-by-case basis.
 
14. Damage Waiver
A Damage Waiver may be offered to the customer at the discretion of Kingdom Camera Rentals, LLC. Purchase of the damage waiver is optional. Proof of purchase will be displayed on the Customer Order invoice. Each damage waiver applies to a specific individual rental item, not an order. The damage waiver limits the Customer's obligation to pay Kingdom Camera Rentals, LLC for accidental damage incurred during normal usage of the Equipment. The Customer liability is limited to $200 each for FUN, ADVENTURE and ENTHUSIAST PACKAGES.  The Customer liability is fifteen (15%) of the Replacement Cost, based on Manufacturer’s Suggested Retail Price, for all other Equipment that the Customer leased. Replacement Cost includes the retail purchase price, sales tax, shipping cost, and usage tax. The Customer will also pay to Kingdom Camera Rentals, LLC up to $25 to cover shipping and handling of any required repair of the Equipment.
 
If the Customer does not purchase the Damage Waiver, the Customer will pay Kingdom Camera Rentals, LLC up to 100% of the Replacement Cost of the Equipment for damage incurred.
 
The damage waiver does not cover and does not limit the Customer's obligation to pay Kingdom Camera Rentals, LLC for:
 
(i) Equipment that is LOST, STOLEN or not returned to Kingdom Camera Rentals, LLC for any reason.
(ii) All WATER DAMAGE, damage caused by foreign matter such as SAND entering the internal mechanisms of the Equipment.
 
(iii) Damage incurred while the Equipment is in the possession of a third party.
 
(iv) Damage incurred while the Equipment is mounted to moving vehicles, aircraft, parachutes, helmets, or using the Equipment in environments where the Equipment is likely to be damaged due to impact, shock, heat, fire, explosion, excessive dirt, or water.
 
The damage waiver is in effect from the Start date through the End date of the Lease Term and damage must be reported during the Lease Term.
 
16. Taxes
The Customer shall keep the Equipment free and clear of any liens or other encumbrances, and shall not permit any act where Kingdom Camera Rentals, LLC's title or rights may be negatively affected.  The Customer shall be responsible for complying with and conforming to all laws and regulations relating to the possession, use or maintenance of the Equipment. Furthermore, the Customer shall promptly pay all taxes, fees, licenses and governmental charges, together with any penalties or interest thereon, relating to the possession or usage of the Equipment.
In case of failure of the Customer to pay fees, assessments, charges and taxes, all as specified in this Lease, Kingdom Camera Rentals, LLC shall have the right, but shall not be obligated, to pay said fees, assignments, charges and taxes, as the case may be. In that event, the cost thereof shall be added to the Customer’s financial obligations to Kingdom Camera Rentals, LLC.
 
17. Indemnity
The Customer shall indemnify Kingdom Camera Rentals, LLC against, and hold Kingdom Camera Rentals, LLC harmless from, any and all claims, actions, suits, proceedings, costs, expenses, damages, loss, penalties and liabilities, including reasonable attorney's fees and costs, arising out of, related to, connected with, or resulting from the Customer's use, or expected use, of the Equipment, including without limitation the manufacture, handling, transportation, selection, delivery, possession, use, operation, or return of the Equipment during the Term or while the Equipment is in the possession or control of the Customer, or expected to be in the possession or control of the Customer.
 
18. Limitation of Liability
The contents of the Kingdom Camera Rentals, LLC website and the Equipment Kingdom Camera Rentals, LLC delivers are provided "as is." Kingdom Camera Rentals, LLC makes no representations or warranties, whether express or implied, of any kind about the Equipment’s accuracy or functionality.  Kingdom Camera Rentals, LLC assumes no liability or responsibility for any errors or omissions in the content of the Kingdom Camera Rentals, LLC website, for any failures, delays, or interruptions in the delivery of any content contained on the Kingdom Camera Rentals, LLC website, for any losses or damages arising from the use of the content provided on the Kingdom Camera Rentals, LLC web site, or for any conduct by users of the Kingdom Camera Rentals, LLC website.  To the fullest extent permissible by law, Kingdom Camera Rentals, LLC disclaims all representations and warranties about the equipment Kingdom Camera Rentals, LLC delivers, including, for example, warranties of merchantability, fitness for a particular purpose, and non-infringement.  In addition, Kingdom Camera Rentals, LLC does not represent or warrant that the information accessible via the Kingdom Camera Rentals, LLC website is accurate, complete, or current.  Price and availability information is subject to change without notice.
 
In no event shall Kingdom Camera Rentals, LLC be liable to the Customer for any special, incidental, indirect, or consequential damages of any kind, or any damages whatsoever resulting from loss of use, data, or profits, whether or not advised of the possibility of damage, and on any theory of liability, arising out of or in connection with the use or performance of any Equipment or the information on the Kingdom Camera Rentals, LLC website.  While Kingdom Camera Rentals, LLC will make a reasonable effort to return any non-Kingdom Camera Rentals, LLC property it receives, Kingdom Camera Rentals, LLC will not be liable for any losses of or damage to such property.  If any applicable authority holds any portion of this section to be unenforceable, then liability will be limited to the fullest possible extent permitted by applicable law.
 
19. Default
If the Customer fails to perform or fulfill any obligation under this Lease, the Customer shall be in default of this Lease. Subject to any statute, ordinance or law to the contrary, the Customer shall have seven (7) days from the date of notice of default by Kingdom Camera Rentals, LLC to cure the default. In the event the Customer does not cure a default, Kingdom Camera Rentals, LLC may at Kingdom Camera Rentals, LLC's option:
(a) Cure such default and the cost of such action may be added to the Customer's financial obligations under this Lease; or
(b) Declare the Customer in default of the Lease.
If any proceeding under the Bankruptcy Act, as amended, is commenced by or against the Customer, or if the Customer is adjudged insolvent, or if the Customer makes any assignment for the benefit of his creditors, or if a writ of attachment or execution is levied on the Equipment and is not released or satisfied within ten (10) days thereafter, or if a receiver is appointed in any proceeding or action to which the Customer is a party with authority to take possession or control of the Equipment, Kingdom Camera Rentals, LLC may immediately declare the Customer in default of this Lease. In the event of default, Kingdom Camera Rentals, LLC may, as permitted by law, re-take possession of the Equipment. Kingdom Camera Rentals, LLC may, at its option, hold the Customer liable for any difference between the rent for the Equipment that would have been payable under this Lease during the balance of the unexpired term and any rent paid by any successive  customer if the Equipment is re-let minus the cost and expenses of such reletting. In the event Kingdom Camera Rentals, LLC is unable to re-let the Equipment during any remaining term of this Lease, after default by the Customer, Kingdom Camera Rentals, LLC may at its option hold the Customer liable for the balance of the unpaid rent under this Lease if this Lease had continued in force.
In the event of litigation to recover any damages, the Customer is held responsible for all court costs and legal fees incurred by Kingdom Camera Rentals, LLC.
 
20.  Claims of Copyright Infringement
It is the policy of Kingdom Camera Rentals, LLC to respect the intellectual property rights of others.  Kingdom Camera Rentals, LLC does not promote, foster, or condone the copying of photographs or any other infringing activity. 
 
21. Ownership
The Equipment is, and shall at all times be and remain, the sole and exclusive property of Kingdom Camera Rentals, LLC, and the Customer shall have no right, title or interest therein or thereto except as expressly set forth in this Lease.                                   
 
22. Assignment
Neither this Lease nor any interest therein is assignable or transferable by operation of law.
 
23. Binding Effect
The covenants and conditions contained in the Lease shall apply to and bind the Parties and the heirs, legal representatives, successors and permitted assigns of the Parties.
 
24. Entire Lease
This Lease constitutes the entire agreement between the Parties and supersedes any prior understanding or representation of any kind preceding the date of this Lease. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of this Lease. This Lease may only be modified in writing and must be signed by Kingdom Camera Rentals, LLC and the Customer.
 
25. Cumulative Rights
The rights of Kingdom Camera Rentals, LLC and the rights of the Customer under this Lease are cumulative, and shall not be construed as exclusive of each other unless otherwise required by law.
 
26. Severability
If any part or parts of this Lease shall be held unenforceable for any reason, the remainder of this Lease shall continue in full force and effect. If any provision of this Lease is deemed invalid or unenforceable by any court of competent jurisdiction, and if limiting such provision would make the provision valid, then such provision shall be deemed to be construed as so limited.
The failure of either party to enforce any provisions of this Lease shall not be deemed a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Lease. The acceptance of rent by Kingdom Camera Rentals, LLC does not waive Kingdom Camera Rentals, LLC’s right to enforce any provisions of this Lease.
 
27. Headings.
Headings used in this Lease are provided for convenience only and shall not be used to construe meaning or intent.
 
28. Governing Law
This Lease shall be construed and enforced according to laws of the state of Florida. 
Venue for any legal action shall reside in the federal or state courts in Orange County, Florida.
